VETCLIQ Platform Terms of Service

These Terms and Conditions ("Terms") explain the rules that apply when you use the VETCLIQ practice management platform, including scheduling, patient records, billing, inventory, and tenant administration features (collectively, the "Services"). By creating an account or accessing the Services, you agree to be legally bound by these Terms. If you do not agree, you must stop using the Services immediately.

Please review these Terms alongside our Privacy Policy to understand how we process personal information on behalf of your clinic and your clients.

1. Definitions

"VETCLIQ," "we," and "us" refer to the VETCLIQ platform operator. "Tenant" refers to a clinic or business entity that creates an account. "Authorized Users" are individuals invited by the Tenant to access the Services. "You" and "your" refer collectively to the Tenant and its Authorized Users. "Content" means any data, files, notes, images, or other information submitted or generated within the Services.

2. Eligibility and Account Registration

You must have the legal authority to bind your clinic or business to these Terms. When you register, you confirm that the information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must promptly update your account details if they change and promptly notify us of any unauthorized access or security incident affecting your account.

3. Clinic Tenant Responsibilities

As a Tenant, you are responsible for configuring the Services for your operations and for the actions of your Authorized Users. This includes:

  • Managing staff roles, permissions, and access to sensitive patient or financial data.
  • Ensuring compliance with applicable veterinary, data protection, and billing regulations in your jurisdiction.
  • Obtaining all required consents before storing personal data about clients, patients, or employees within VETCLIQ.
  • Keeping patient records, inventory counts, and billing entries accurate, timely, and complete.

We may request supporting documentation to verify your compliance at any time. Failure to respond may result in suspension of Services.

4. Authorized and Prohibited Uses

VETCLIQ is designed to support veterinary practice operations. You agree that you will not:

  • Use the Services for unlawful, fraudulent, or harmful purposes.
  • Share access credentials outside your organization, bypass security controls, or otherwise attempt to gain unauthorized access to the Services.
  • Upload any content that infringes intellectual property rights, invades privacy, or violates a contractual obligation.
  • Introduce malware or other harmful code, or perform penetration testing without our prior written consent.

We reserve the right to investigate violations and remove content or suspend accounts where misuse is detected.

5. Subscription Plans and Billing

Certain VETCLIQ features require a paid subscription. Plan details, including pricing, inclusions, and billing frequency, are disclosed at the time of purchase. Unless otherwise stated, fees are non-refundable. You authorize us to charge the payment method on file for recurring fees, usage-based charges, and applicable taxes. Late or failed payments may result in suspended access. You are responsible for any bank or payment provider fees.

Plan upgrades, downgrades, or cancellations become effective at the end of your current billing cycle unless stated otherwise in writing. We may change pricing or plan inclusions with prior notice. Continued use of the Services after the effective date of the changes constitutes acceptance of the updated fees.

6. Platform Services and Support

VETCLIQ provides tools for scheduling, patient management, inventory, billing, reporting, and related workflows. We may update, enhance, or deprecate features to improve functionality or address security concerns. We will make reasonable efforts to provide advance notice of material changes that reduce core functionality.

Support resources include documentation, in-app help, and email assistance. Support requests should include sufficient detail for us to reproduce the issue. Optional beta or early access features are offered on an "as is" basis and may be withdrawn without notice.

7. Data Ownership and Security

You retain ownership of Content uploaded or generated within VETCLIQ. We process that information solely to provide the Services, generate account-level analytics, maintain system integrity, and comply with legal obligations. We maintain technical and organizational safeguards to protect your data and will notify you of any legally required disclosures or security incidents.

You are responsible for exporting or backing up patient records and other Content as required by your policies or regulatory obligations. Upon request, and subject to applicable law, we will provide a copy or export of your Content within a reasonable timeframe, which may be subject to a processing fee.

8. Third-Party Integrations

VETCLIQ may integrate with third-party providers such as calendar systems, laboratories, communication services, or payment processors. Your use of those services is subject to their separate terms, and VETCLIQ is not responsible for third-party actions, omissions, or downtime. You authorize us to share limited data with those providers to enable integrations. We may suspend or disable integrations that pose security, compliance, or performance risks.

9. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information obtained through the Services, including patient records, pricing, and technical documentation. This obligation does not apply to information that is publicly available, already known without restriction, independently developed, or required to be disclosed by law. Where disclosure is legally required, the receiving party will provide prompt notice, when permitted, to allow the other party to seek protective measures.

10. Intellectual Property

All VETCLIQ software, branding, interfaces, documentation, and content remain the property of VETCLIQ and its licensors. You are granted a limited, non-transferable license to use the Services for your internal business operations. You may not copy, modify, reverse engineer, or resell the Services without express written permission. You grant VETCLIQ a non-exclusive, worldwide license to host and process your Content solely for purposes of providing the Services.

11. Feedback

If you provide suggestions, feature requests, or feedback, you grant us the right to use, share, and implement that feedback without obligation or compensation. Feedback is not considered confidential unless explicitly agreed upon in writing.

12. Service Availability and Maintenance

We strive to keep VETCLIQ available at all times, but we cannot guarantee uninterrupted access. Maintenance windows, updates, or unexpected outages may occur. We will use commercially reasonable efforts to restore access promptly and schedule planned maintenance during off-peak hours. VETCLIQ is not liable for losses resulting from service interruptions.

13. Termination

You may cancel your account at any time by contacting support. VETCLIQ may suspend or terminate access if you violate these Terms, fail to pay amounts owed, or if required by law. Following termination, we may retain Content for a limited period to comply with legal obligations or resolve disputes before permanent deletion unless you request otherwise and applicable law permits immediate deletion.

14. Indemnification

You will indemnify and hold harmless VETCLIQ, its affiliates, and their employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Content, or your breach of these Terms or applicable laws. VETCLIQ will notify you of any claim and permit you to control the defense, provided the defense does not adversely affect our rights.

15. Limitation of Liability

The Services are provided on an "as is" and "as available" basis. We make no warranties regarding accuracy, completeness, or suitability for your specific requirements. To the maximum extent permitted by law, VETCLIQ's total liability for any claim arising under these Terms will not exceed the fees you paid to VETCLIQ in the twelve (12) months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenues, or data.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where VETCLIQ is incorporated, without regard to conflict-of-law rules. We will attempt to resolve disputes through good-faith negotiations. If a resolution cannot be reached, disputes will be submitted to binding arbitration or a competent court in that jurisdiction unless another process is required by local law. Class or representative actions are not permitted except where prohibited by law.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. The updated Terms will include a new effective date. Continued use of VETCLIQ after updates become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Services and request account deletion.
